Article 1 - Definitions

In these general terms and conditions, the following definitions shall apply:

1.1 YOUFIX: statutorily established in Rotterdam, with its office at Ludolf de Jonghstraat 41B (3042 JD), registered with the Chamber of Commerce under number 85033901.
1.2 Client: any natural person or legal entity that enters into an agreement with YOUFIX for the provision of personnel.
1.3 Employee: any natural person who performs or will perform work for the client through YOUFIX.
1.4 Agreement: any written or verbal agreement between YOUFIX and the client for the provision of personnel within the framework of secondment, temporary employment, or recruitment and selection.

Article 2 - Applicability

2.1 These general terms and conditions apply to all quotes, agreements, orders, and other legal relationships between YOUFIX and the client.
2.2 Any general terms and conditions of the client are explicitly rejected, unless otherwise agreed in writing.
2.3 Deviations from these terms and conditions are only valid if agreed in writing.

Article 3 - Services

3.1 YOUFIX specializes in the recruitment, selection, deployment, and secondment of personnel in the transport and logistics sector.
3.2 Our services are aimed at providing qualified and skilled personnel with a suitable work ethic to clients in the relevant sectors.
3.3 YOUFIX strives for an optimal match between employee and client, with knowledge, experience, and reliability as key priorities.

Article 4 - Obligations of YOUFIX

4.1 YOUFIX will endeavor to select suitable employees who meet the job description provided by the client.
4.2 YOUFIX will ensure correct administrative processing, including payment of wages, premiums, and tax obligations, for all employees.
4.3 YOUFIX is not liable for damage caused by deployed employees, unless there is intent or gross negligence on the part of YOUFIX itself.

Article 5 - Obligations of the Client

5.1 The client shall ensure a safe and healthy working environment in accordance with applicable laws and regulations.
5.2 The client must provide YOUFIX with all relevant information regarding the position, duties, working conditions, and working hours in a timely manner.
5.3 If an employee proves to be unsuitable, the client must notify YOUFIX of this immediately in writing.

Article 6 - Rates and Payment

6.1 Unless expressly agreed otherwise, YOUFIX applies fixed rates per hour, day or project, excluding VAT and any surcharges.
6.2 Invoices must be paid within 14 days of the invoice date. If the deadline is exceeded, the client will be in default without further notice of default.
6.3 YOUFIX is entitled to charge statutory interest, administration costs and collection costs in the event of late payment.

Article 7 - Liability

7.1 YOUFIX is solely liable for direct damage caused by intent or gross negligence on its part.
7.2 Any liability is limited to the amount paid in the relevant case by YOUFIX’s liability insurance.
7.3 YOUFIX is not liable for indirect damage, consequential damage, or loss of profits.

Article 8 - Confidentiality

8.1 The parties undertake to maintain confidentiality of all confidential information they obtain from each other in connection with the agreement.
8.2 This obligation remains in effect even after termination of the agreement.

Article 9 - Force majeure

9.1 In the event of force majeure on the part of YOUFIX, obligations will be suspended for as long as the force majeure situation persists.
9.2 Force majeure means any circumstance beyond the control of YOUFIX that temporarily or permanently prevents performance of the agreement.

Article 10 - Applicable law and choice of forum

10.1 All agreements with YOUFIX are governed exclusively by Dutch law.
10.2 Disputes between YOUFIX and the client will be submitted exclusively to the competent court in the district of Rotterdam.
